Terms of Service

These Terms of Service ("Terms") apply to all quotations, orders, sales and deliveries of products and services by Four Nordic ("Four Nordic", "we", "us" or "our") to business customers ("Customer", "you" or "your").

Four Nordic operates exclusively on a business-to-business (B2B) basis. By requesting a quotation, placing an order, accepting an offer or otherwise purchasing from Four Nordic, you confirm that you are acting on behalf of a business and agree to these Terms.

1. Scope

These Terms apply to all transactions between Four Nordic and the Customer unless otherwise agreed in writing.

Any terms or conditions submitted by the Customer shall only apply if expressly accepted in writing by Four Nordic.

In the event of a conflict between these Terms and a specific written quotation or agreement issued by Four Nordic, the specific written agreement shall prevail.

2. Quotations

Unless otherwise stated, quotations from Four Nordic are non-binding and subject to:

  • Product availability.

  • Final supplier confirmation.

  • Credit approval.

  • Changes in exchange rates, freight costs, duties or supplier pricing.

  • Errors and omissions.

Prices and availability may change without notice until an order has been formally accepted by Four Nordic.

A quotation is valid for the period stated in the quotation. If no validity period is stated, Four Nordic reserves the right to change or withdraw the quotation at any time before order confirmation.

3. Orders

An order becomes binding once it has been accepted and confirmed by Four Nordic.

Once an order has been confirmed, it may not be cancelled or changed without the prior written approval of Four Nordic.

Four Nordic reserves the right to reject or cancel an order where, for example:

  • A product is unavailable.

  • Supplier availability changes.

  • Pricing information was incorrect.

  • Credit approval cannot be obtained.

  • Export, sanctions or compliance requirements prevent the transaction.

  • Circumstances outside Four Nordic's reasonable control prevent fulfilment.

4. Products and Product Condition

Four Nordic supplies IT hardware and related products in various conditions, which may include:

  • Factory new.

  • New/open box.

  • Refurbished.

  • Renewed.

  • Used.

  • Spare or tested spare equipment.

  • End-of-life or discontinued products.

The applicable product condition will normally be stated in the quotation, order confirmation or invoice.

Product images, descriptions and specifications on our website or in marketing material are for general information only and may differ from the exact product delivered.

The Customer is responsible for verifying that the ordered product, part number, configuration and compatibility meet its requirements before placing an order.

5. Pricing

Unless otherwise stated, all prices are exclusive of:

  • VAT.

  • Sales taxes.

  • Import duties.

  • Customs charges.

  • Freight.

  • Insurance.

  • Installation.

  • Any other applicable taxes or charges.

The Customer is responsible for taxes, customs duties and import charges applicable in the destination country unless expressly agreed otherwise in writing.

6. Payment

Payment terms will be specified in the relevant quotation, order confirmation or invoice.

Where credit terms have been granted, Four Nordic reserves the right to withdraw or amend such terms at any time based on the Customer's creditworthiness or payment history.

Late payments may result in:

  • Interest and collection costs.

  • Suspension of existing orders.

  • Withdrawal of credit terms.

  • Refusal of future orders.

Four Nordic may require full or partial payment in advance before processing or shipping an order.

7. Delivery

Delivery dates and lead times provided by Four Nordic are estimates unless expressly agreed otherwise in writing.

Four Nordic shall make reasonable efforts to meet estimated delivery dates but shall not be liable for delays caused by suppliers, manufacturers, carriers, customs authorities or other circumstances outside our reasonable control.

Partial deliveries may be made where appropriate.

Unless otherwise agreed, delivery terms shall be interpreted according to the applicable Incoterms® rules stated in the quotation or order confirmation.

8. Transfer of Risk and Title

Risk in the goods transfers to the Customer in accordance with the applicable delivery terms agreed between the parties.

Title to the products remains with Four Nordic until full payment of all amounts relating to the relevant order has been received, to the extent permitted by applicable law.

9. Inspection Upon Delivery

The Customer must inspect the goods promptly upon receipt.

Any visible transportation damage, shortages or incorrect deliveries should be reported to Four Nordic as soon as reasonably possible.

The Customer should retain all packaging and relevant documentation where a claim may need to be made against the carrier or supplier.

10. Returns and Refunds

Four Nordic operates exclusively on a B2B basis, and Customers do not have consumer cancellation or withdrawal rights.

Return requests must be submitted within 8 calendar days of receipt of the goods.

All returns require prior written authorization from Four Nordic and a valid RMA (Return Merchandise Authorization).

Once a return has been approved, Four Nordic will provide an RMA form which must be completed before the goods are returned.

Approved discretionary returns are subject to a 30% restocking fee calculated on the invoiced value of the returned products.

The Customer is responsible for return shipping costs and risks unless otherwise agreed.

11. Special Orders and Non-Returnable Products

Certain products may not be cancelled or returned, including:

  • Specially sourced products.

  • Customer-specific configurations.

  • Custom-built products.

  • Products ordered specifically from a manufacturer or supplier for the Customer.

  • Products marked as non-returnable or final sale.

  • Products subject to supplier or manufacturer return restrictions.

Four Nordic will determine whether a product qualifies as non-returnable based on the circumstances of the order and applicable supplier restrictions.

12. Warranty

Warranty terms depend on the product, manufacturer, condition and individual transaction.

The applicable warranty will normally be stated in the quotation, order confirmation or invoice.

Where products are covered by a manufacturer's warranty, the Customer may be required to follow the manufacturer's warranty procedures.

For refurbished, spare or used products, Four Nordic may provide its own warranty subject to the conditions stated at the time of sale.

Unless expressly stated otherwise, Four Nordic does not provide warranties beyond those specifically agreed for the relevant product.

13. Warranty Exclusions

Warranty coverage does not apply to problems caused by:

  • Misuse or improper handling.

  • Incorrect installation.

  • Physical damage after delivery.

  • Unauthorized repairs or modifications.

  • Electrical damage or unsuitable operating environments.

  • Failure to follow manufacturer requirements.

  • Normal wear and tear.

  • Incompatibility with systems or equipment not disclosed to Four Nordic before purchase.

14. Product Compatibility

The Customer is responsible for verifying compatibility between the purchased products and its existing infrastructure, systems, software and hardware.

Four Nordic may provide compatibility guidance in good faith, but unless expressly confirmed in writing, such guidance does not constitute a guarantee of compatibility.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Four Nordic shall not be liable for indirect, incidental, special or consequential losses, including but not limited to:

  • Loss of profit.

  • Loss of revenue.

  • Loss of business.

  • Loss of contracts.

  • Loss of data.

  • Loss of production.

  • Business interruption.

  • Loss of anticipated savings.

Four Nordic's total liability arising from a specific order shall, to the maximum extent permitted by law, not exceed the amount paid by the Customer to Four Nordic for the products giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

16. Data and Software

The Customer is responsible for backing up and removing any data stored on equipment returned to Four Nordic.

Four Nordic accepts no responsibility for loss, disclosure or destruction of data stored on returned hardware.

Unless specifically included in the quotation, software licences, subscriptions and support agreements are not included with hardware products.

The Customer is responsible for ensuring that it has the necessary software licences for its intended use.

17. Export Control and Sanctions

The Customer agrees to comply with all applicable export control, sanctions and trade compliance laws and regulations.

Products purchased from Four Nordic must not be directly or indirectly exported, re-exported, transferred or used in violation of applicable Danish, European Union, United Nations, United States or other applicable trade restrictions.

Four Nordic reserves the right to request end-user, destination or compliance information before accepting or completing an order.

Four Nordic may refuse, suspend or cancel any transaction where compliance concerns arise.

18. Resale

Where products are purchased for resale, the Customer is responsible for ensuring that the subsequent sale, export and use of the products complies with applicable laws, regulations and manufacturer restrictions.

19. Force Majeure

Four Nordic shall not be liable for failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters.

  • War or armed conflict.

  • Terrorism.

  • Government actions.

  • Sanctions or export restrictions.

  • Strikes.

  • Epidemics or pandemics.

  • Cyberattacks.

  • Supplier failures.

  • Manufacturing shortages.

  • Transportation disruptions.

  • Customs delays.

  • Power or telecommunications failures.

Where such circumstances occur, Four Nordic may suspend, delay or cancel affected orders without liability for consequential losses.

20. Intellectual Property

All content published on the Four Nordic website, including text, graphics, logos, designs and other material created by Four Nordic, remains the intellectual property of Four Nordic or its licensors.

Third-party trademarks, product names and logos remain the property of their respective owners.

Nothing in these Terms transfers intellectual property rights to the Customer.

21. Website Use

Users of the Four Nordic website must not:

  • Use the website for unlawful purposes.

  • Attempt unauthorized access to our systems.

  • Interfere with the operation or security of the website.

  • Introduce malware or malicious code.

  • Scrape or systematically extract website content without authorization.

  • Misrepresent their identity or business.

Four Nordic may restrict access to the website where misuse is suspected.

22. Confidentiality

Commercial information exchanged between Four Nordic and the Customer, including non-public pricing, quotations and commercial terms, should be treated as confidential unless otherwise agreed.

This obligation does not apply to information that is publicly available or required to be disclosed by law.

23. Privacy

Personal information is processed in accordance with Four Nordic's applicable Privacy Policy and applicable data protection legislation.

Business customers are responsible for ensuring that any personal data provided to Four Nordic may lawfully be shared for the purposes of fulfilling the relevant transaction.

24. Changes to These Terms

Four Nordic reserves the right to update these Terms from time to time.

The version applicable to a transaction will generally be the version in force when the relevant order is accepted, unless otherwise agreed.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

26. Governing Law and Jurisdiction

These Terms and all transactions between Four Nordic and the Customer shall be governed by the laws of Denmark, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or a transaction with Four Nordic shall be subject to the jurisdiction of the competent courts of Denmark, unless otherwise agreed in writing.
